These Terms of Service apply to services supplied by The Bizz Whiz through our website, quotations, invoices or other agreed means.
By purchasing, booking or instructing us to begin a service, you agree to these Terms of Service together with any service-specific terms, quotation, proposal or agreed scope of work provided to you.
Please read these terms carefully before purchasing our services.
1. Our Services
The Bizz Whiz provides professional business and digital services which may include:
- Website design and development
- Website maintenance and management
- Shopify and e-commerce support
- Product uploads and optimisation
- Search Engine Optimisation (SEO)
- Digital business consultancy
- Meta Ads design and implementation
- Email marketing and customer retention management
- Marketplace setup and management
- Amazon, eBay, Etsy and TikTok Shop support
- Digital business audits
- Business consultancy sessions
- Branding and digital imagery
- Training and staff support
- Other agreed digital and business services
The exact services included will depend on the package or service purchased.
2. Scope of Work
Each package has a defined scope, allowance and set of deliverables.
Only work specifically stated as included within the purchased package, product description, quotation or written agreement is included in the agreed price.
Requests outside the original scope may be subject to an additional charge.
Where additional work is required, we will aim to explain this and agree any additional charges before proceeding.
3. Website Packages
Website packages may have limits relating to:
- Number of pages
- Number of products
- Number of collections
- Integrations
- Sales channels
- Email automations
- Booking functionality
- Revisions
- Other features
Additional requirements beyond the package allowance may be quoted separately.
The client is responsible for reviewing the website and providing requested feedback and approvals during the build.
4. Client Responsibilities
To provide our services effectively, clients may be required to supply:
- Business information
- Product/service information
- Prices
- Policies
- Contact information
- Images and video
- Branding
- Login/access permissions
- Product data
- Stock information
- Shipping information
- Marketplace information
- Advertising information
- Other content reasonably required to complete the work
Clients are responsible for ensuring information supplied to The Bizz Whiz is accurate, lawful and suitable for use.
Delays in providing requested information, access or approvals may affect completion dates.
5. Client Content & Permissions
By supplying photographs, logos, videos, written content, trademarks or other materials, you confirm that you own them or have appropriate permission to use them.
The Bizz Whiz is not responsible for claims arising from materials supplied by a client where the client did not have appropriate rights or permission to use them.
Clients remain responsible for ensuring that their business content, products, claims and services comply with applicable laws and regulations.
6. Website Timescales
Any estimated completion date is based on the information available when the project begins.
Timescales may change due to:
- Client delays
- Changes to the agreed scope
- Additional revisions
- Third-party platform issues
- Technical problems outside our control
- Delayed account approvals
- Delayed provision of products, imagery or information
We will make reasonable efforts to communicate significant changes to expected timescales.
7. Revisions & Changes
Reasonable revisions may be included during a website build where stated within the package.
A revision means an amendment to work already created within the agreed scope.
A significant change of direction, additional functionality, new pages, additional products, redesign after approval or other work outside the original brief may be treated as additional work and charged separately.
8. Payments
Prices will be displayed on our website or confirmed through a quotation or invoice.
Website builds and larger projects may require a deposit before work begins.
The remaining balance must be paid according to the payment schedule agreed for the project.
Monthly services are payable in accordance with the agreed billing schedule.
We reserve the right to pause work or services where payments become overdue.
9. Monthly Management Services
Monthly services may include:
- Essential Website Care
- Growth Website & E-Commerce Management
- Scale Digital Management & Business Consultancy
- Meta Ads Design & Implementation
- Email Marketing & Customer Retention Management
- Marketplace Setup & Management
- Other agreed recurring services
Each service may have a monthly time allowance, product allowance, campaign allowance or other defined usage limit.
Unused monthly allowances do not roll over unless expressly agreed otherwise in writing.
Work requested beyond the monthly allowance may be quoted or charged separately with the client's agreement.
10. Minimum Commitments & Cancellation
Some monthly services may have a minimum commitment period.
Where applicable, the minimum commitment and cancellation arrangements will be stated within the relevant service description, quotation or agreement.
Clients remain responsible for fees due during any agreed minimum term, subject to applicable statutory rights.
After any minimum commitment has ended, cancellation will be handled in accordance with the notice terms agreed for that service.
11. Third-Party Platforms & Costs
Our services may involve third-party platforms including:
- Shopify
- Meta
- Amazon
- eBay
- Etsy
- TikTok
- Email marketing platforms
- Domain providers
- Payment processors
- Booking systems
- Paid applications
Unless specifically stated otherwise, third-party charges are not included in The Bizz Whiz service fee.
Clients are responsible for paying their own platform subscriptions, advertising budgets, commissions, transaction fees, domain costs, application fees and other third-party charges.
12. Third-Party Availability
The Bizz Whiz does not control third-party platforms.
We cannot guarantee that any third-party service will:
- Remain available
- Maintain existing functionality
- Approve an account
- Approve a product or advertisement
- Maintain existing pricing
- Maintain integrations
- Avoid outages or technical issues
- Maintain existing policies
We will provide reasonable support where a third-party issue affects services we manage, but we cannot accept responsibility for matters outside our control.
13. Meta Advertising
Where Meta Ads Design & Implementation is purchased, advertising spend is separate from our management fee and is normally paid directly by the client to Meta.
The client is responsible for maintaining sufficient payment facilities within their advertising account.
We may design, implement, monitor and optimise campaigns according to the purchased service.
However, advertising performance can be influenced by many factors outside our control.
We do not guarantee:
- Sales
- Leads
- Enquiries
- Return on advertising spend
- Cost per acquisition
- Reach
- Website conversion
- Profitability
14. SEO
SEO services are intended to improve website structure, content and search visibility.
Search engines use algorithms and ranking systems that are outside our control.
We therefore cannot guarantee:
- First-page rankings
- Specific keyword positions
- Increased traffic
- Increased revenue
- A particular ranking within a specified timeframe
15. Email Marketing
Clients are responsible for ensuring they have an appropriate lawful basis for sending marketing communications to the contacts within their database.
The Bizz Whiz may provide campaign design, copywriting, segmentation, automation and implementation where included within the purchased service.
We cannot guarantee specific open rates, click rates, sales, revenue or retention results.
16. Marketplace Services
Marketplace setup and management may involve platforms such as Amazon, eBay, Etsy and TikTok Shop.
Account approval, listing approval, search placement, account restrictions and platform decisions remain under the control of the relevant marketplace.
The Bizz Whiz cannot guarantee marketplace approval, sales volume or ranking.
Clients remain responsible for the accuracy and legality of their products, pricing, stock, shipping, returns and product claims.
17. Business Consultancy
Business consultancy, audits, strategy sessions and recommendations are provided based on the information available to us at the time.
Our recommendations are intended to provide practical business guidance but do not constitute legal, financial, tax or regulated professional advice.
The client remains responsible for all final business decisions and implementation.
18. Ownership of Completed Work
Once all agreed fees have been paid, the client will own the final bespoke website content, designs and materials created specifically for their project, except for third-party materials, licensed assets, software, applications, themes, fonts or other items subject to separate licence terms.
The Bizz Whiz retains ownership of its own pre-existing methods, templates, processes, know-how and business materials.
Third-party software and platforms remain subject to their respective owners' terms and licences.
19. Portfolio Use
Unless otherwise agreed in writing, we may display completed work created for your business within our portfolio, website or social media for the purpose of demonstrating our services.
We will not intentionally disclose confidential business information as part of portfolio use.
If you do not want your completed project displayed within our portfolio, please notify us in writing.
20. Account Access & Security
Some services require access to client websites, advertising accounts, marketplaces, social media accounts or other systems.
Clients should use appropriate platform access permissions wherever available rather than unnecessarily sharing personal passwords.
Clients remain responsible for maintaining the security of their own accounts and should notify us promptly if access permissions change or a security issue is identified.
21. Confidentiality
We will treat non-public business information provided to us for the purpose of delivering services as confidential and will not intentionally disclose it to third parties except where required to deliver the agreed service, required by law or authorised by the client.
22. Data Protection
Both parties are responsible for complying with applicable data protection requirements relevant to their activities.
Where we process personal data on behalf of a client as part of providing a service, additional data-processing terms may be required depending on the nature of the work.
Clients remain responsible for ensuring their own website has appropriate privacy, cookie and marketing policies.
23. Results
We will provide our services with reasonable care and skill.
However, business performance depends on numerous factors outside our control.
We cannot guarantee any particular level of:
- Sales
- Profit
- Website traffic
- Leads
- Enquiries
- Conversion
- Advertising performance
- Search ranking
- Customer retention
- Marketplace performance
- Business growth
24. Limitation of Liability
Nothing in these terms excludes or limits liability where doing so would be unlawful.
To the extent permitted by law, The Bizz Whiz will not be responsible for indirect or consequential business losses arising from matters outside our reasonable control, including third-party platform outages, account suspensions, algorithm changes or services supplied by third parties.
Nothing within these terms affects statutory rights that cannot legally be excluded or restricted.
25. Pausing or Ending Services
We reserve the right to pause or terminate services where:
- Payments remain overdue
- Required access is repeatedly unavailable
- A client requests unlawful or misleading activity
- A client seriously or repeatedly breaches these terms
- Continuing the working relationship becomes unreasonable due to abusive or threatening behaviour
Where appropriate, we will aim to provide reasonable notice before ending a service.
26. Refunds & Cancellations
Refund and cancellation requests are handled in accordance with our separate Refund, Cancellation & Returns Policy, together with any applicable statutory rights.
27. Changes to These Terms
We may update these Terms of Service periodically to reflect changes to our services, business practices or legal requirements.
The latest version will be published on our website with the date it was last updated.
Changes will not retrospectively remove rights already accrued under an existing agreement.
28. Governing Law
These Terms of Service are governed by the laws of England and Wales.
Where legally permitted, disputes will be subject to the jurisdiction of the courts of England and Wales.
Nothing in this section removes any mandatory consumer rights regarding where proceedings may be brought.
